Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and STL Agency LLC, a Delaware limited liability company doing business as Zeduwul ("Zeduwul," "we," "us," or "our"). The Terms govern your access to and use of the Zeduwul service available at www.zeduwul.com (the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service

Zeduwul is a scheduling tool that lets a host publish a public booking page, define availability rules, connect a Google Calendar, and accept meeting bookings from visitors. The Service creates and cancels calendar events on the host's connected calendar.

2. Eligibility and accounts

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement.

Accounts are issued by invitation only. To use the Service, you must accept an invitation from a Zeduwul workspace administrator. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account. Notify us immediately at aaron@stlagency.net if you suspect unauthorized access.

3. Acceptable use

When using the Service, you agree not to:

Violate any applicable law, regulation, or third-party right.
Send spam, phishing messages, or unsolicited bulk communications.
Attempt to bypass authentication, rate limits, or other security controls.
Reverse engineer, decompile, or attempt to extract source code from the Service.
Use the Service to harass, defame, or harm any person.
Interfere with the Service's operation, including by overloading, flooding, or scraping.
Use the Service in connection with high-risk activities where failure could lead to death, personal injury, or significant property or environmental damage.

We may suspend or terminate accounts that violate these rules.

4. Your content and data

You retain ownership of all data you submit to the Service, including event types, availability rules, booking notes, and calendar content ("Your Data"). You grant Zeduwul a limited, worldwide, royalty-free license to host, store, transmit, and display Your Data solely to provide and improve the Service.

You are responsible for the accuracy and lawfulness of Your Data. You represent that you have all rights necessary to share Your Data with the Service.

5. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to that processing.

6. Third-party services

The Service integrates with Google Calendar to read free/busy availability and create or cancel events. Your use of Google Calendar is governed by Google's terms and privacy policy, not these Terms. Zeduwul is not responsible for any acts or omissions of Google or any other third-party service. If a third-party service becomes unavailable, parts of the Service may not function until it is restored.

7. Fees

The Service is currently provided at no charge. We may introduce paid plans in the future; if we do, we will notify account holders before fees apply, and continued use after the effective date will constitute acceptance of the new pricing.

8. Modifications to the Service

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. ZEDUWUL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DATA WILL BE PRESERVED. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDUWUL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the limitations above may not apply to you in full.

11. Indemnification

You agree to defend, indemnify, and hold harmless Zeduwul and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) Your Data; or (d) your violation of any law or third-party right.

12. Termination

You may stop using the Service at any time and request account deletion by emailing aaron@stlagency.net. We may suspend or terminate your access at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive (including ownership, disclaimers, limitations of liability, indemnification, and governing law).

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to personal jurisdiction in those courts.

14. Changes to these Terms

We may revise these Terms from time to time. The current version is always available at this page; the "Effective date" above shows when it was last revised. If we make material changes, we will notify account holders by email at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.

15. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms freely. These Terms are the entire agreement between you and Zeduwul regarding the Service.
